Terms of Service

Pantheon Network LLC (“Pantheon,” “we,” “us,” or “our”) provides Good Signal, a Pantheon Network product.

These Terms are an agreement between Pantheon and the person or organization creating or using a Good Signal account. By creating an account, accepting an order or checkout, or using Good Signal, you agree to these Terms and acknowledge the Privacy Notice.

You must be at least 18 years old, have legal capacity to enter a contract, and have authority to act for the business or organization associated with the account.

An order form, checkout disclosure, or other written agreement may contain additional plan or commercial terms. If it conflicts with these Terms, the more specific written term controls for the subject it addresses.

Good Signal provides customer-feedback and survey collection, review-destination handoffs, follow-up tools, analytics, translation, optional AI-assisted tools, public profiles and widgets, testimonial features, publishing controls, and related services.

Good Signal does not submit or post a review to an external review platform on a customer’s behalf. We do not control whether an external platform accepts, rejects, removes, ranks, moderates, or publishes a review.

Features may be introduced, modified, limited, suspended, or discontinued as Good Signal develops. We will provide notice of a material change when required by law or a written agreement.

Some features may be identified as beta, preview, experimental, or early access. Such features may be changed or withdrawn and may be less reliable than generally available features.

Plans may include limits on businesses, locations, account users, monthly responses, storage, exports, testimonial media, AI features, integrations, or other functionality. Applicable limits are shown in the service, at checkout, in an order form, or in other plan documentation.

We may restrict collection, processing, or access when a plan limit is reached. Responses or other content collected beyond an applicable allowance may be locked, restricted, or otherwise handled as described in the account or plan. You are not guaranteed continuing access to content beyond your plan’s limits.

Free, Community, discounted, and eligibility-based plans may require an application or continued eligibility. We may review eligibility, enforce plan restrictions, or require an upgrade when eligibility ends. Unless required otherwise by law or a written agreement, free features may be modified or discontinued.

You must provide accurate account information, keep it current, protect account credentials, and limit access to authorized users.

You are responsible for activity performed through your account, except to the extent caused by Pantheon’s breach of these Terms or applicable law. Notify us promptly if you suspect unauthorized access or a security incident involving your account.

You may not share credentials in a manner that circumvents account-user or plan limits.

You may not use Good Signal to:

• fabricate, purchase, sell, or submit false reviews or testimonials;
• create or publish an AI-generated review represented as the genuine experience of a real customer;
• impersonate another person or misrepresent a reviewer’s identity or experience;
• offer payment, discounts, gifts, or other incentives conditioned on a positive or negative rating or particular sentiment;
• conceal an employee, owner, relative, agent, or other material relationship with a reviewer;
• suppress, remove, threaten, retaliate against, or penalize a person for providing honest feedback;
• condition the availability of an external public-review option on a customer’s rating or sentiment;
• selectively make configured external review destinations available only to customers expected to provide favorable reviews;
• misrepresent a curated profile, testimonial display, or widget as showing all reviews or as independently selected when it does not;
• interfere with a reviewer’s legally protected right to express an honest opinion; or
• violate the rules of an external review platform.

Configured public-review destinations must remain available without rating-based discrimination.

You remain responsible for ensuring that your feedback and review program complies with applicable consumer-protection, advertising, endorsement, privacy, and platform rules.

You may not use Good Signal to:

• collect, use, disclose, or publish information unlawfully;
• send spam or other communications without legally required permission;
• publish confidential, infringing, deceptive, defamatory, discriminatory, threatening, or illegal content;
• introduce malware, probe or disrupt security, evade rate or usage limits, scrape protected areas, or interfere with the service;
• access another account or business without authorization;
• reverse engineer, copy, resell, sublicense, or exploit Good Signal except as expressly permitted by law or a written agreement; or
• use Good Signal in a manner that creates a material risk to Pantheon, our customers, feedback submitters, third parties, or the service.

You determine the questions, notices, destinations, publication settings, follow-up practices, and lawful purposes of your feedback program.

You are responsible for:

• providing legally required privacy, consent, and marketing notices;
• obtaining any permission required to collect contact information, send follow-up or marketing communications, or publicly display a person’s name, feedback, image, voice, or testimonial;
• giving lawful and accurate instructions to Good Signal;
• responding to privacy-rights requests concerning feedback you control;
• ensuring that account users have appropriate access to customer information;
• ensuring that your surveys and communications do not discriminate or violate applicable law; and
• complying with email, telephone, text-message, advertising, and consumer-protection requirements applicable to your activities.

You may not use Good Signal to collect regulated or highly sensitive information unless the collection is expressly supported by Good Signal, appropriate for the service, and lawful. You may not knowingly use Good Signal to collect children’s personal information in violation of applicable law.

For feedback collected on your behalf, you act as the business or controller that determines the purposes of processing, and Pantheon acts as your service provider or processor. Your instructions include these Terms, your account configuration, and other documented directions accepted by Pantheon.

“Customer Content” means information, configurations, surveys, feedback, responses, media, and other material submitted to or processed through your account by you, your account users, or feedback submitters.

As between you and Pantheon, you retain rights in Customer Content that you submit or control. Feedback submitters retain any rights they have in their own content. Nothing in these Terms transfers to you or Pantheon ownership of rights belonging to a feedback submitter merely because the content is processed through Good Signal.

You grant Pantheon a limited, non-exclusive license to host, store, copy, process, translate, transmit, format, display, and otherwise use Customer Content only as reasonably necessary to provide, maintain, support, secure, and administer Good Signal; follow your lawful instructions and customer-selected publication choices; and comply with law.

You represent that you have the rights, permissions, notices, and lawful instructions necessary for Pantheon to process Customer Content as contemplated by these Terms.

Pantheon may use aggregated or de-identified information to operate, secure, understand, and improve Good Signal, provided that the information does not reasonably identify you, a feedback submitter, or another individual.

We may restrict or remove content that violates these Terms, applicable law, a third party’s rights, or a public-platform rule.

Good Signal will display Customer Content publicly only through an applicable public-display choice, account setting, or authorized publishing action.

Once content is made public, third parties may view, copy, index, cache, quote, or redistribute it. Pantheon cannot control copies made by third parties or search engines.

You are responsible for the accuracy of your publication settings and for ensuring that you have authority to publish the content. You may not present edited or selectively displayed feedback in a materially misleading manner.

Translations, automated classifications, summaries, benchmarks, suggested responses, and other AI-assisted outputs may be incomplete, inaccurate, or unsuitable for a particular purpose. You must review an output before relying on, sending, or publishing it.

These features are operational aids and are not legal, financial, medical, employment, safety, or other professional advice. You may not use an automated output as the sole basis for a legally or similarly significant decision about a person.

You may not use AI features to fabricate a consumer review, materially alter a customer’s stated experience while attributing the result to that customer, or otherwise misrepresent a customer’s views.

Content needed to provide an AI or translation feature may be processed by a third-party provider as described in the Privacy Notice.

Good Signal, including its software, designs, interfaces, documentation, workflows, trademarks, and other technology, is owned by Pantheon or its licensors and is protected by applicable intellectual-property laws.

Subject to these Terms and payment of applicable fees, Pantheon grants you a limited, non-exclusive, non-transferable, revocable right to use Good Signal for your internal business purposes during the applicable account or subscription term.

These Terms do not grant you ownership of Good Signal or the right to use Pantheon or Good Signal names, logos, or branding except as expressly authorized.

Suggestions or product feedback that you voluntarily provide may be used by Pantheon without restriction or compensation, provided that this does not grant Pantheon ownership of your Customer Content or confidential information.

Paid plans are billed according to the pricing, billing period, plan limits, and renewal terms shown at checkout or in an order form. Taxes may apply.

Subscriptions may renew automatically until canceled. You authorize the applicable payment provider to charge the payment method associated with the account for recurring fees, taxes, and authorized adjustments.

We may change prices prospectively. We will provide any notice required by law or a written agreement before a price change applies to a renewal.

Except where applicable law or a written order requires otherwise, charges already incurred are non-refundable. A cancellation stops future renewal and ordinarily takes effect at the end of the current paid period unless the account or checkout terms state otherwise.

Cancellation does not itself require immediate deletion of account or feedback information. Data is retained and deleted as described in the Privacy Notice, available account controls, and any applicable written agreement.

We may restrict or suspend paid functionality for overdue amounts, failed payments, chargebacks, or an expired payment method.

Good Signal may link to, interoperate with, or depend on third-party services, including review destinations, authentication providers, payment processors, hosting and storage services, email providers, analytics providers, translation services, and AI providers.

We do not control their availability, security, eligibility rules, moderation, content, decisions, or acts. Your use of a third-party service is governed by its own terms and privacy practices.

Pantheon is not responsible for an external platform’s decision to accept, reject, rank, remove, restrict, or display content or an account.

We may limit, suspend, or terminate access when reasonably necessary to:

• protect feedback submitters, customers, third parties, Pantheon, or the service;
• address nonpayment, fraud, security threats, unlawful activity, or abuse;
• investigate a suspected violation;
• comply with law or a third-party platform requirement; or
• enforce these Terms or an applicable plan limit.

Where reasonably practicable, we will provide notice and an opportunity to address the issue. Immediate action may be taken when delay could create harm, legal exposure, data loss, or a security risk.

You may stop using Good Signal and cancel a paid plan through available account controls.

Upon termination, your right to use the service ends. Outstanding payment obligations and provisions concerning intellectual property, disclaimers, liability, indemnity, disputes, and other terms that by their nature should survive will remain in effect.

Access to or deletion of Customer Content following termination is governed by the Privacy Notice, available account controls, and any applicable written agreement. You are responsible for exporting information you need before access ends. We do not guarantee access after the applicable account or retention period has ended.

To the maximum extent permitted by law, Good Signal is provided “as is” and “as available.”

Pantheon disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, error-free operation, and specific business, review, reputation, revenue, or customer-retention results.

Feedback and testimonials are supplied by customers or other third parties. Pantheon does not guarantee their accuracy, legality, identity, completeness, representativeness, or authenticity and does not endorse them.

We do not guarantee that information will never be lost, altered, accessed without authorization, or unavailable. You are responsible for maintaining appropriate copies of information important to your business.

Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

To the maximum extent permitted by law, Pantheon Network LLC and its owners, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits, revenue, business, opportunities, or goodwill; loss, corruption, or unavailability of data; or the acts or decisions of feedback submitters or third-party services.

These exclusions apply regardless of the legal theory and even if the possibility of the loss was known or foreseeable.

Pantheon’s aggregate liability arising out of or relating to Good Signal or these Terms will not exceed the amount you paid for Good Signal during the twelve months immediately preceding the event giving rise to the claim, or US$100 if you used only a free plan.

These limitations apply even if a remedy fails of its essential purpose. They do not apply to the extent prohibited by law.

To the extent permitted by law, you will defend, indemnify, and hold harmless Pantheon Network LLC and its owners, officers, employees, contractors, and affiliates from third-party claims, liabilities, damages, judgments, penalties, losses, and reasonable legal expenses arising from:

• Customer Content or your publication or use of it;
• your surveys, feedback program, follow-up, marketing, or review-solicitation practices;
• your violation of privacy, advertising, communications, consumer-protection, intellectual-property, or other law;
• your violation of an external platform’s rules;
• your misuse of Good Signal; or
• your breach of these Terms.

Pantheon may assume control of the defense of a covered claim. You may not settle a claim in a manner that admits fault by or imposes an obligation on Pantheon without Pantheon’s written consent.

These Terms are governed by the laws of the District of Columbia, without regard to conflict-of-law principles.

To the extent a dispute may be brought in court, you and Pantheon consent to the exclusive jurisdiction and venue of the local and federal courts located in the District of Columbia.

Nothing in this section prevents either party from seeking appropriate injunctive or equitable relief in a court with jurisdiction.

We may update these Terms as Good Signal changes or legal requirements develop. We will provide notice when required for a material change.

Unless applicable law requires fresh consent, continued use after the stated effective date constitutes acceptance of the updated Terms.

These Terms, together with any applicable order form or written agreement, constitute the entire agreement concerning Good Signal and replace prior discussions or agreements about the same subject.

You may not assign these Terms without Pantheon’s written consent. Pantheon may assign them in connection with a merger, reorganization, financing, sale of assets, or transfer of the Good Signal business.

Neither party is responsible for delay caused by events beyond its reasonable control, except for payment obligations.

A failure to enforce a provision is not a waiver. If a provision is found unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will continue in effect.

These Terms do not create an employment, partnership, franchise, fiduciary, or agency relationship, and no third party is an intended beneficiary.

Notices and agreements may be delivered electronically where permitted by law.
